General Terms and Conditions
  1. Business Hours :
    CTC provides assistance and service during our standard operating hours from 9:00am to 8:00pm from Mondays to Sundays, holidays not covered. A separate service agreement is provided for extended support assistance as per required by the client.
  2. Prices and Taxes :
    All prices are VAT Inclusive unless otherwise provided with VAT Excempt certificate for exclusion, a separate price proposal will be given. All prices are subject to change without prior notice and the validity is up to 30 days. Prices are exclusive of delivery, installation, freight and shipment, handling, transpo, meal and board & lodging for provincial services and deliveries, unless otherwise quoted.
  3. Terms of Payment :
    Upon advise to the CLIENT of the availability and delivery of items purchased. CTC will deliver the goods whether site is available or not, thus completion of payment will be collected and commence the start of warranty. In case it appears that the CLIENT will not be able to abide by the foregoing Schedule of Payment CTC reserves the right to change or to reject the foregoing terms of payment taking into account CLIENT's ability of settling its account. In case the CLIENT fails to pay CTC within the period agreed, the CLIENT agrees to pay CTC interest at the rate of two percent (2%) of the amount due, for every month, or a fraction thereof, of delay.
  4. Freight and Shipment :
    In case of provincial or out of town shipment or purchased items, goods travel at customer's risk, and CTC's responsibility ends at the shipping point. Its Clients discretion to choose what form of shipment to be used and on a separate charge either covered by the client or to be charged to them on a separate agreement.
  5. Support Services :
    As standard level of support all hardware purchases are Return to Depot. The phone assistance and remote assistance support for all software purchases is available during our standard business hours. Our website www.chasetech.com is available anytime to log all your request and will be attended by our CTC Representative during business hours.
  6. Limited Hardware Warranty :
    CTC provides LIMITED WARRANTY on product workmanship for a period of One (1) year for both parts and labor. Warranty is on Return to depot Basis. Out of the pocket expense for freight, duties and taxes shall be shouldered by the customer for equipment that needs to be repaired outside of M. Mla.
    Hardware Warranty is VOID under the following conditions :
    1. Failure of the PRODUCTS arising from tampering, use of refilled products, accident, abuse, excessive wear, improper electrical connections, corrosion caused by rodents and insects, poor operating environment, fire and other natural calamities, act of God, misapplication caused by the BUYER or any of its agents, employees, representatives or guests of the CLIENT.
    2. Transferring of terminals and database files, wrong user entry, data corruption due to virus and hard disk bad sector, deletion of files by the user.
    3. Relocation of Hardware to other branches w/o the need of prior notification to CTC & provision of necessary material regarding relocation.
    4. Consumables such as ribbons, power adapter, toners, ink cartridges, printer head, platen roller, fuse, gears, printhead latch all FREE ITEMS and other accessories are not covered by the warranty. The warranty does not cover Hardware's normal wear and tear.
    5. Warranty seal was removed or tampered.
    6. The unit was sold to another party without prior written authorization from Chase.
    7. CTC does not warrant being responsible for any third party product (including rights & remedies). In the event CTC is asked to re-perform any work to meet the third party product, Client agrees to pay CTC on time and materials basis based on CTC's standard rate.
  7. Limited Software Warranty :
    CTC warrants that the SOFTWARE will perform substantially as long as under monthly ESA.
    1. The CLIENT acknowledges that CTC owns the proprietary rights of the SOFTWARE as provided for under the Intellectual Property Code of the Philippines, and that CTC grants CLIENT the license to use the SOFTWARE. The Software is Licensed, not sold.
    2. CTC does not warranty to be responsible for any third party product and device drivers such as MS Windows, Anti Virus ,SQL, Visual Studio, Visual Basic, Active Sync, HP, IBM, Adobe Acrobat Reader, PDF Creator, WinBar and the like including its rights and remedies.
    3. CTC is not responsible for damage or loss of any programs or data on the removable or fixed storage media. CLIENT shall, at all times provide a back up for any programs or data on the said media.
    4. The CLIENT is responsible for encoding and editing of details in the Masterfile and is liable on the wrong encoding; wrong set-up definition of masterfiles that will be use in daily operation.
    5. All other services such as audit of untally sales and inventory discrepancy, systems consultation, software modification, data conversion and/or upgrades shall be covered by a separate contract and billed on a time and materials basis based on CTC's standard rates.
    6. The unit was sold to another party without prior written authorization from Chase.
    7. CTC does not warrant being responsible for any third party product (including rights & remedies). In the event CTC is asked to re-perform any work to meet the third party product, Client agrees to pay CTC on time and materials basis based on CTC's standard rate.
    Software Warranty is VOID under the following conditions :
    1. Failure of the SOFTWARE arising from but not limited to tampering, accident, abuse, misapplication, including data loss or corruption and file infection due to viruses, hard disk crashes, data and power loss and deletion of files.
    2. The SOFTWARE is altered or modified by CLIENT or any of its employees, representatives or guests w/o prior written authorization of CTC.
    3. The SOFTWARE is sold to another party without prior written authorization from CHASETECH.
    4. Failure to operate due to the CLIENT's lapse in security.
  8. Confidentiality and Restrictions :
    This Agreement and all matters herewith shall be classified as privileged and strictly confidential information, between the PARTIES their respective transferees and or assignees, if any, and shall not be divulged to any third party without the prior express written consent of CTC. Client agrees not to solicit employment from any CHASE TECH personnel who performed services under this agreement. There is a penalty fee equivalent to the annual compensation of the personnel for a period of (5) years.
  9. Return Policy :
    All cancelled orders are subject to a cancellation charge of: 40% for orders of PHP 10,000.00 and below; 20% for orders of PHP 10,000.00 above. You can return your products purchase from CTC within Seven (7) Working Days from the day after the delivery. Working days means all days other than Saturday, Sunday and public holidays.
    1. The goods must in an 'as new' condition and returned in the original, undamaged packaging, along with any accessories, cables & manuals and free items received with it.
    2. The product must not have been used or installed or had any data inputted.
    3. DVDs, CDs, Memory cards and software must still be sealed otherwise it will be considered sold.
    4. All services rendered and done already cannot be refunded.
    Return cannot be applied on the following conditions :
    1. If the product purchased is a SPECIAL ORDER or ORDER BASIS item on your specification.
    2. If you return the product without the Proof of Purchase or the Original Sales Invoice / OR
    3. There is a contract for services with the product and you have started using the services; this would include, for example, a preventive maintenance, monthly service subscription and the like.
    4. The seal has been broken on the Hardware.
    NOTE : All Software purchases are NON REFUNDABLE.
  10. Limitation of Liability :
    CTC is not responsible for damage to or loss of any programs or data on the removable or fixed storage media during servicing of the PRODUCTS, in the absence of gross or inexcusable negligence on the part of CTC. The CLIENT shall, at all times, provide a back up for any programs or data on the removable or fixed storage media. It is CLIENT'S responsibility to have and maintain in place virus protection software and reasonable security for its systems and data, which may include firewalls, passwords, physical security, access controls policies, and the like. There is no guarantee that the data lost on the hard disk as result of a virus attack can be recovered; however, CHASE TECH will do its best to recover such data. For virus removal, CHASE TECH will not be liable for data loss in case the hard disk needs reformatting. The CLIENT is at all times required to back-up their data. The CLIENT acknowledges that the security and protection of its system, data and applications is solely and entirely its responsibility. Sub-sequential charges for operational loss such as Mall Penalty or BIR penalty and the like, CTC will not be liable.
  11. Force Majeure :
    CTC undertakes to provide the service maintenance provided in paragraph 1.3 hereof. In the event that service maintenance cannot be completed within the prescribed period due to force majeure, as defined by prevailing laws and such other causes not attributable to CTC, CLIENT shall have no cause of action against CHASE TECH and shall pay the value of the service maintenance already completed and accepted. Without limiting the applicability of prevailing laws, an event shall not be considered force majeure unless it presents all of the following characteristics:
    1. The event must be independent of CTC's or its employee's will;
    2. The event could not be foreseen, or if it could be foreseen, must have been impossible to avoid
    3. The event must be of such character as to render it impossible for CTC to comply with its obligation in a normal manner
